Corporate Law News: General Resolution IGJ 8/16 Two changes to ease previous requirements from the Public Register of Commerce

General Resolution (“RG”) # 8/16 of the Public Register of Commerce (“IGJ” as per its Spanish abbreviation) published in the Official Gazette on 04/29/16, amended Article 67 of the IGJ RG 7/15 that required the object of a society was unique, and annuled Section 68 of the same RG that empowered IGJ to require a company to increase its corporate initial capital when it considered that capital set by the company were not adequate to fulfill its object .

With these modifications, resume full force and without limitation the provisions of the General Corporation Law (“LGS”); which respect the corporate purpose, it requires only that it be “precise and determined” and in terms of capital, sets the minimum amount for corporations in $ 100,000 (Article 186 LGS), without establishing parameters for the other corporate types .
